Agreement to Terms

These Terms of Service ("Terms") govern your use of the bakery ordering and delivery platform at earlybirdbaker.com (the "Service"), operated by Early Bird Bread Distribution LLC, doing business as Early Bird Baker ("Early Bird Baker", "we", "us"). By creating an account or placing an order, you agree to these Terms.

Accounts

• You must provide accurate account information and keep it up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• Accounts are intended for wholesale and business customers. You must be authorized to place orders on behalf of your business.

Orders and Cutoff Times

• Orders for next-day delivery must be placed before the posted daily cutoff time. Orders placed after cutoff are scheduled for the following available delivery day.
• You may edit or cancel a draft order before cutoff. Once an order is finalized at cutoff, changes and cancellations require contacting us.
• Recurring orders are generated automatically from your saved schedule. You are responsible for reviewing and adjusting recurring orders before each cutoff.
• We may decline, limit, or cancel any order at our discretion, including for product availability or credit reasons.

Pricing and Payment

• Prices are set per customer and may change at any time. The price applied is the price in effect when your order is finalized.
• Invoices are issued when an order is finalized. Payment is due according to the terms associated with your account (including card, ACH bank transfer, cash on delivery, or account credit terms).
• You authorize us to charge your selected payment method for orders, balances, and applicable fees.
• Bank transfer (ACH) payments may take several business days to settle. A returned or reversed payment leaves the corresponding balance outstanding.
• Outstanding balances and credit limits may affect your ability to place new orders.

Delivery

We aim to deliver on your scheduled delivery dates but do not guarantee specific delivery times. Risk of loss passes to you on delivery. Please inspect deliveries promptly and report any issues to us as soon as possible.

SMS and Email Communications

By providing your contact information you agree to receive transactional messages related to your account and orders, including verification codes, order confirmations, and delivery updates. See our Privacy Policy and SMS Terms & Conditions for details on how we handle communications.

Acceptable Use

You agree not to misuse the Service, including attempting to access accounts or data that are not yours, interfering with the platform's operation, or using the Service for any unlawful purpose.

Disclaimers

The Service is provided "as is" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free.

Limitation of Liability

To the fullest extent permitted by law, Early Bird Bread Distribution LLC is not liable for indirect, incidental, or consequential damages arising from your use of the Service. Our total liability for any claim is limited to the amount you paid for the order giving rise to the claim.

Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law rules.
